Welcome to Balboa Peaks Software LLC. By engaging our software development, consulting, or related engineering services, you agree to the following terms and conditions.
Balboa Peaks Software LLC agrees to provide services as outlined in your specific proposal, statement of work, or service agreement. These services may include custom software development, systems integration, infrastructure setup, technical advisory, and ongoing maintenance or support.
The client agrees to provide timely access to relevant stakeholders, documentation, development and test environments, and any third‑party services or APIs required for Balboa Peaks Software LLC to perform the agreed‑upon services. The client is responsible for ensuring they have the necessary rights and licenses to any materials or systems they ask us to use or integrate with.
Invoices are generated monthly or per project milestone, as defined in the applicable agreement. Payment is due within 15 days of the invoice date, unless otherwise specified in writing. Balboa Peaks Software LLC reserves the right to pause work, limit access to environments we manage, or withhold deliverables if payment is not received within the specified timeline.
Ongoing retainers or support arrangements typically require a 30‑day written notice for cancellation, unless otherwise defined in a separate agreement. Project timelines are estimates and may be impacted by client dependencies, third‑party service availability, and changes in project scope.
Upon full payment of all amounts due for a given project or phase, the client owns the rights to the specifically developed software deliverables identified in the applicable agreement. Balboa Peaks Software LLC retains ownership of its pre‑existing tools, libraries, frameworks, processes, and know‑how, including any generic components that are not unique to the client’s implementation.
These terms are governed by the laws applicable to the jurisdiction of Balboa Peaks Software LLC, without regard to conflict of law principles, unless a different jurisdiction is specified in a signed agreement.
